These Terms & Conditions (“Terms”) govern your access to and use of the websites, mobile applications and services (together, the “Services”) provided by WISEPUP.AI (OPC) PRIVATE LIMITED, trading as wisepup (“wisepup”, “we”, “us” or “our”). By creating an account, making a payment or otherwise using the Services, you agree to these Terms.

1. Who we are

The Services are operated by WISEPUP.AI (OPC) PRIVATE LIMITED (U62013MP2026OPC084800), with its registered office at 50 SS INFINITUS SILVENUS, MR 11 ROAD, Indore DDU Nagar, Indore, Indore- 452010, Madhya Pradesh. You can reach us at support@wisepup.app.

2. Eligibility & learners under 18

To buy a course or hold an account, you must be at least 18 years old and able to enter into a binding contract. Our products are designed for learners of all ages, including children. Where a learner is under 18, a parent or legal guardian must set up and control the account, agree to these Terms on the learner’s behalf, and supervise their use. By doing so, you confirm you are that parent or guardian.

3. The Services

wisepup provides AI-assisted learning products — including AI tutors and learning apps such as ucharo — delivered as digital services. Features, content and availability may change, improve or be withdrawn over time. We do not guarantee that any particular feature will always be available.

4. Your account

You are responsible for the information you provide, for keeping your login credentials secure, and for all activity under your account. Notify us promptly at support@wisepup.app if you believe your account has been compromised.

5. Course purchases & pricing

Our paid Services are sold as one-time purchases of a fixed-term course (for example, the 3-month ucharo course), not as recurring subscriptions.

• The price and what is included are shown to you before you pay. Payment is a single, one-time charge — there is no auto-renewal and no recurring billing.
• When your payment is confirmed, you get access to the course for its stated duration.
• Prices may change over time; the price you pay is the one shown at checkout for your purchase, and any change applies only to new purchases.
• Because there is no subscription, there is nothing to cancel to stop future charges. Refund rights are set out in our Refunds & Cancellation Policy.

6. Payments

Payments are processed by our third-party payment provider, Stripe. When you pay, your card and payment details are collected and handled by Stripe under its own terms and security standards — wisepup does not receive or store your full card number. Prices are stated inclusive or exclusive of taxes as indicated at checkout; you are responsible for any applicable taxes. You confirm that you are authorised to use the payment method you provide.

Service delivery

Our Services are digital and are delivered electronically — there is no physical product and nothing is shipped. Once your payment is confirmed, access is enabled on the account you subscribed with, usually immediately. If you do not receive access after a successful payment, email support@wisepup.app and we will resolve it promptly.

7. Cancellations & refunds

Cancellation and refund rights are set out in our Refunds & Cancellation Policy, which forms part of these Terms.

8. Acceptable use

You agree not to:

• use the Services for any unlawful, harmful or fraudulent purpose;
• share, resell or provide access to your account to others, except a supervised learner as described above;
• attempt to reverse-engineer, scrape, overload, or interfere with the Services or the models and systems behind them;
• upload content that infringes others’ rights or that is unlawful, abusive or misleading.

9. Your content & learning data

Some features accept input you provide — including text and, in products such as ucharo, voice recordings — so the AI tutor can respond and adapt. You retain ownership of your content. You grant us a licence to process it to operate and improve the Services, as described in our Privacy Policy.

10. Intellectual property

The Services, including the wisepup name, logo, software, content and design, are owned by WISEPUP.AI (OPC) PRIVATE LIMITED or its licensors and are protected by law. We grant you a limited, personal, non-transferable licence to use the Services for their intended purpose. No other rights are granted.

11. AI-generated output

Our tutors are powered by artificial intelligence. AI can be wrong, incomplete or misleading. Output is provided to support learning and is not professional, medical, legal or financial advice. You should use judgement and, where it matters, verify important information.

12. Disclaimers

The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties not expressly stated here. We do not guarantee any specific learning outcome, result, score or level of proficiency, including any timeframe referenced in our marketing.

13. Limitation of liability

To the fullest extent permitted by law, wisepup will not be liable for any indirect, incidental or consequential losses. Our total liability arising out of or relating to the Services is limited to the amount you paid us for the Services in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

14. Suspension & termination

We may suspend or terminate your access if you breach these Terms or use the Services in a way that risks harm to others or to the Services. You may stop using the Services at any time and close your account.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Services after the changes take effect means you accept the updated Terms.

16. Governing law & disputes

These Terms are governed by the laws of India. The courts at Indore, India will have jurisdiction over any dispute, subject to any rights you have under applicable consumer-protection law.
